Payment Terms

All content, materials, methodologies, software, and intellectual property provided by FrostSignal remain our exclusive property or that of our licensors. This includes but is not limited to proprietary KPI frameworks, analytical models, dashboard designs, and training materials. You are granted a limited, non-exclusive licence to use our services in accordance with these terms. You may not copy, modify, distribute, or create derivative works from our intellectual property without express written permission.

Confidentiality

Both parties acknowledge that confidential information may be disclosed during the provision of services. We commit to maintaining the confidentiality of your business data and information. You agree to keep confidential any proprietary methodologies, techniques, or information disclosed by FrostSignal during service delivery.

Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these terms. We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

Limitation of Liability

To the maximum extent permitted by law, FrostSignal's total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability and even if advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless FrostSignal, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

Force Majeure

Neither party shall be liable for any delay or failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Austria. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Austria. The parties agree to attempt to resolve any disputes through good faith negotiations before pursuing legal action.

Termination

Either party may terminate service agreements in accordance with the specific terms outlined in individual contracts. We reserve the right to suspend or terminate access to our services immediately for any breach of these terms. Upon termination, your right to use our services ceases immediately, though certain provisions of these terms shall survive termination, including intellectual property rights, confidentiality obligations, and limitation of liability clauses.

Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

Amendments
